Business Registration, the National Network for Simplifying Registration and Legalization of Companies And Businesses (REDESIM) and Economic Efficiency: A Look Through Douglass North's Thought

Abstract

The registration of business activity is the first act to formalize business. Thus, to the extent that the regular companies exercise depends on carrying out business registration, an inefficient registration system tends to damage the economy, as it represents an obstacle to entrepreneurship. Law 11.598/2007 represented an important change in perspective on the need for simpler registration. From the theoretical tools of Law&Economics, by the deductive method, the Brazilian business registration system is globally analyzed by the principle of efficiency and by North's Institutionalism, demonstrating that modifications that simplifies and integrates the current registration system tends to be efficient, either by Pareto or Kaldor-Hicks. From North's lessons, it is concluded that the effective change in the registration system involves new and coordinated interactions between informal institutions and political bodies, avoiding instabilities and insecurity by changing existing formal institutions, which are understood to be sufficient for building an efficient registration system.
