Recently, literature concerning the effects of new Brazilian bankruptcy law on corporations is quite extensive, reflecting the relevance of this issue. However an economic analysis of this federal legal procedure is still an open question, deserving attention mostly from the economists. In this sense, this paper aims to fulfill this branch, mainly on raising some interpretative issues based on the economic concept of efficiency, preferences and strategies. Regarding this approach we conclude it is not possible to guarantee firm’s reorganization is an efficient decision, because propensity for failing as creditors’ optimal strategy is a more likely outcome. Undoubtedly, in order to verify these forecasts, we still need to rely on future empirical research.
