Análise Econômica dos conflitos de agência e governança corporativa

O texto se propõe a analisar a estrutura normativa de tomada e monitoramento de decisões corporativas tendo por referência metodológica a análise econômica do Direito e, mais especificamente, a relação de agência que perpassa a realidade das companhias.
Nesta abordagem, o texto discorre sobre os mais evidentes conflitos de agência nas sociedades anônimas para, em momento posterior, analisar os instrumentos normativos de fiscalização das decisões corporativas e, principalmente, o papel do Conselho Fiscal, como órgão especificamente voltado para esta atividade.
Por outro lado, esta análise se completa, na última parte do texto, com a referência aos mecanismos externos de fiscalização das atividades corporativas e seu impacto sobre a tomada de decisões.
