Governança corporativa e soberania pooular: Mecanismo de controle do poder do Estado na Sociedade e Economia

O desenvolvimento tecnológico somado à rapidez no intercâmbio de informações transformou o mundo – jurídico e extrajurídico – em uma unidade social. Nesse sentido, a globalização tornou-se um verdadeiro paradigma, na medida em que se inaugurou uma nova maneira de se ver o mundo e entender a realidade. Se de um lado a complexidade da sociedade contemporânea passou a exigir postura multidisciplinar e interdisciplinar; de outro, a unidade instituída pela globalização requer o alcance de um resultado comum e integrado. Nesse contexto, a governança corporativa surgiu como modelo que responde de maneira adequada às demandas dos novos tempos, como mecanismo de compartilhar o poder e o controle dele decorrente, ambos coletivo e global. Como forma de realizar tal objetivo, reforçou-se a obediência aos princípios da transparência, equidade, prestação de contas e responsabilidade corporativa. No Brasil, segundo o modelo do Estado Democrático de Direito optado pela CF/88, a governança corporativa também será aplicada aos Entes políticos. O povo, como fonte do poder soberano da nação, exercerá o controle mediante sua soberania popular sendo exercida mediante plebiscito, referendo e iniciativa popular. Contudo, esse mecanismo constitucional tem se mostrado frágil e inexiste a efetiva participação popular na construção e controle das decisões que orienta e constrói a sociedade brasileira. Outros mecanismos de exercício da soberania popular ainda não foram empregados no ordenamento jurídico pátrio, podendo fortalecer o desejado espírito de governança, tais como a revogação de mandato (recall) cujo objetivo é fomentar o senso de responsabilidade do eleito.Downloads
